Considering:
The first party is committed to promoting the protection of independent houses, short-term rental operations, and asset appreciation projects through a membership partnership platform; The second party agrees with the first party's philosophy and voluntarily joins the platform to participate in future project investments. To clarify the rights and obligations of both parties, this contract is hereby established.
Article 1 | Membership and Partnership Fees
The second party agrees to pay a partnership fee of AUD 10000 to obtain membership in the Australian Housing Fund Limited.
Once the partnership fee is paid, it is not exclusive to any specific investment project and only serves as a qualification certificate for Party B to join and enjoy membership benefits.
Partnership fees enjoy a fixed annual return rate of 6%. The return payment period is on June 30th and December 31st each year.
Article 2 | Fixed Returns and Exit Rules
From the date of receipt of the partnership fee, Party B shall enjoy fixed return benefits.
Those who apply to withdraw from the membership after less than six months will only receive a refund of their principal and no payment of any income.
Party B's withdrawal shall be deemed as giving up all membership benefits (including project participation, short-term rental discounts, referral reward qualifications, etc.)
The second party shall submit a written "Membership Withdrawal Application Form" to the first party at least 7 natural days in advance.
Article 3 | Investment Project Selection
After becoming a member, Party B may independently choose to participate in the following three types of investment projects:
(1) Landlord Custody Cooperation Project
(2) Platform self purchased operation project
(3) Member owned land co construction project
Each project is accompanied by an independent "Project Description" and "Project Investment Contract", which the second party needs to review and sign separately.
Whether Party B participates in the project is completely voluntary and does not affect their original membership and fixed return rights.
Article 4 | Financial Security and Risk Bearing
The founding shareholder of Party A promises to provide unlimited liability guarantee for the principal and fixed returns of the member partnership.
The second party understands that there are market risks and uncertainties in the returns of various investment projects in which they participate independently, and the first party does not make any guarantee or commitment to individual project returns.
The first party promises to regularly, truthfully, and transparently disclose the financial status and progress information of the project.
Article 5 | Membership Benefits
After becoming a member of Party A, Party B enjoys the following benefits:
Fixed return equity
The partnership fee has a fixed annual return of 6% and is paid in installments.
Priority participation right in investment projects
Prioritize obtaining information and participation opportunities for investment projects launched by Party A.
Short term rental service discounts
The second party and their immediate family members shall enjoy a 30% discount on the standard rent basis in the short-term rental property on the first party's platform.
Recommendation reward mechanism
After recommending new members and successfully joining a quiet independent house, they can receive referral rewards from Party A, and the standards will be announced separately.
Emergency support services
The second party may apply for emergency support from the first party in case of emergencies (such as diseases, accidents, etc.) in Australia.
Opportunities for brand promotion participation
The second party has the opportunity to participate in the first party's brand promotion, community activities, and member story sharing.
Continuous communication and rights updates
The first party will regularly update member benefits and project information through WeChat, email, or other means.
Article 6 | Information Disclosure and Confidentiality Obligations
The first party shall provide the second party with regular financial reports and project briefings.
The second party shall bear strict confidentiality obligations for the commercial secrets, member information, project materials, and other contents of the first party, and shall not disclose or use them for unauthorized purposes without the written consent of the first party.
The confidentiality obligation shall remain in effect after the termination of membership.
Article 7 | Dispute Resolution
This contract is governed by the laws of Victoria, Australia.
Any disputes arising from the contract shall be resolved through friendly negotiation between both parties first; If the negotiation fails, it can be submitted to the court with jurisdiction in Melbourne for litigation.
Article 8 | Supplementary Provisions
This contract shall come into effect from the date of signature and seal by both parties.
This contract is made in duplicate, with each party holding one copy, and has equal legal effect.
The first party has the right to make reasonable adjustments to the membership system in accordance with changes in laws and regulations, but must notify the second party in writing in advance and give a reasonable period of time for the second party to decide whether to accept or apply for withdrawal.
